Terms & Conditions

Last updated: 25 October 2026

These Terms & Conditions (“Terms”) govern your use of the Vein Software Solutions website and the software, WhatsApp integrations and related services that we provide.

1. Introduction and Acceptance of Terms

By using our website, software or services, you agree to these Terms. If you use them on behalf of a hospital, diagnostic centre or other organization, you confirm that you are authorized to accept these Terms for that organization, and “you” includes that organization.

If you do not agree to these Terms, please do not use our website, software or services.

2. Company and Services

Vein Software Solutions (“we”, “us” or “our”) develops hospital management and diagnostic laboratory software, other business software described on our website, and integrations with the WhatsApp Cloud API.

Product descriptions on our website are provided for general information. They may change and do not by themselves form an offer or a commitment to supply any particular feature.

3. Customer Agreements

The products, modules, implementation, customization, training, support and fees that apply to a customer are set out in the quotation, proposal, order or written agreement agreed between that customer and us (a “Customer Agreement”).

If a Customer Agreement conflicts with these Terms, the Customer Agreement prevails.

4. Eligibility and Authorized Use

Our software and services are intended for hospitals, diagnostic centres and other businesses and organizations. Customers must ensure that only their authorized personnel use the software, and that it is used in accordance with these Terms, the Customer Agreement and applicable law.

5. Customer Accounts and Responsibilities

Customers are responsible for:

  • keeping user names, passwords and other access credentials confidential;
  • granting access only to authorized users and removing access when it is no longer needed;
  • activity carried out through their accounts; and
  • informing us promptly if they suspect unauthorized access or misuse.

6. Software Use and Licence

Subject to these Terms, the Customer Agreement and payment of any applicable fees, we grant the customer a non-exclusive, non-transferable right to use our software for its internal business purposes, within the scope set out in the Customer Agreement.

Unless the Customer Agreement or applicable law permits otherwise, customers must not:

  • copy, modify, sell, sublicense, rent or distribute the software;
  • reverse engineer, decompile or attempt to extract the source code of the software;
  • remove or alter any copyright, trademark or other proprietary notices; or
  • bypass or interfere with any security or access controls.

Some components of our software may be provided by third parties and are subject to their own licence terms.

7. Fees, Payments and Taxes

We do not publish standard prices on this website. Fees, payment terms, applicable taxes and any refund arrangements are set out in the quotation or Customer Agreement.

Charges made by third parties, such as Meta’s charges for WhatsApp messaging, are subject to those third parties’ terms and the Customer Agreement.

8. Acceptable Use

You must not use our website, software or services to:

  • break any applicable law or regulation;
  • send messages to people who have not given the required opt-in or consent, or send spam or other unsolicited messages;
  • collect, enter or share personal or patient information without the necessary authority;
  • upload or transmit malware or other harmful code;
  • attempt to gain unauthorized access to our systems or to other customers’ data; or
  • disrupt or overload our website, software or services.

9. Customer Data and Confidentiality

Customers keep their rights in the data they enter into or process through our software (“Customer Data”). We do not claim ownership of Customer Data. We access and use Customer Data only to provide, support, maintain and secure our services, on the customer’s instructions, as described in our Privacy Policy, or as required by law.

Customers are responsible for the accuracy and lawfulness of Customer Data. Unless the Customer Agreement states that we are responsible for backups, customers should maintain appropriate backups of their data.

Each party will keep confidential any non-public business information it receives from the other in connection with our services, and will use it only for that purpose, unless disclosure is required by law.

10. Patient Information and Healthcare Responsibilities

Hospitals and diagnostic centres remain responsible for ensuring that they have the appropriate authority and consent to collect, enter and share patient information through our software, subject to applicable law and their contractual arrangements.

Our software helps healthcare organizations manage their operations and records. It does not provide medical advice, diagnosis or treatment. Clinical decisions, and the review of reports before they are released to patients, remain the responsibility of the customer and its qualified professionals.

11. WhatsApp Cloud API and Third-Party Services

WhatsApp messaging is provided by Meta. Customers who use our WhatsApp integrations must comply with the applicable Meta and WhatsApp terms and policies, including WhatsApp’s Business Messaging Policy, and are responsible for obtaining recipients’ opt-in and using approved message templates.

Meta and other third-party providers may change, restrict or suspend their services under their own terms. We are not responsible for the availability, content or actions of third-party services that we do not control.

12. Intellectual Property

We and our licensors own the software, this website and their content, including all related intellectual property rights. Except for the rights expressly granted in these Terms or a Customer Agreement, no rights are transferred to you. Ownership of any customized work is as set out in the Customer Agreement.

13. Availability, Maintenance and Support

We work to keep our services available, but we do not guarantee that the website, software or services will be uninterrupted or error-free. Availability may be affected by maintenance, updates, internet or hosting problems, and third-party services such as WhatsApp.

The scope of support and maintenance, support hours and response times are set out in the Customer Agreement.

14. Privacy

Our Privacy Policy explains how we process information in connection with our website, software and WhatsApp integrations.

15. Disclaimers and Limitation of Liability

Information on this website is provided for general purposes. Except as expressly stated in a Customer Agreement, we do not give any warranty that our software will meet every requirement of a customer or operate without errors.

To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit or business, or loss caused by third-party services, by inaccurate or unauthorized Customer Data, or by use of the software that does not comply with these Terms. Any further limits on liability are set out in the Customer Agreement. Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnity

Customers agree to compensate us for reasonable losses and costs arising from claims by third parties that result from the customer’s breach of these Terms, its use of Customer Data or patient information without the necessary authority, or its breach of the WhatsApp terms and policies.

17. Suspension and Termination

We may suspend access to our software or services where reasonably necessary to:

  • protect the security of our systems, our customers or their data;
  • comply with the law or a requirement of Meta or another service provider; or
  • address a material breach of these Terms or the Customer Agreement.

Termination rights, notice periods, and the return or deletion of Customer Data when a service ends are set out in the Customer Agreement, subject to any legal retention obligations. When a service ends, the right to use the related software also ends.

18. Changes to the Services or These Terms

We may update our services and these Terms from time to time. The latest version of these Terms will be published on this page, and the “Last updated” date above will be revised. Changes to the commercial terms of an existing Customer Agreement are made as set out in that agreement.

19. Governing Law and Disputes

These Terms are governed by the laws of India. If a dispute arises, please contact us first so that we can try to resolve it informally. Where a Customer Agreement sets out a dispute resolution procedure, that procedure applies.

20. General

If any part of these Terms is found to be invalid or unenforceable, the remaining parts continue to apply. A failure or delay in enforcing any part of these Terms is not a waiver of our right to enforce it later.
